Description
The Senior Corporate & Estate Paralegal will be responsible for independently managing a substantial portfolio of business entity, estate, trust, and regulatory matters across multiple states. The role requires deep experience with corporate compliance, government certifications, estate and trust administration, and transaction support, along with exceptional organizational discipline and professional judgment.
This position works closely with firm attorneys but is expected to operate proactively, identify issues before they arise, and drive matters to completion.
1. Business Entity & Corporate Compliance (Primary Focus)
Independently prepare, file, and manage:
o LLC and corporate formations, amendments, conversions, and dissolutions
o Annual reports and ongoing compliance filings
o Certificates of Good Standing, foreign qualifications, registered agent matters
o Manage entity compliance across multiple jurisdictions, including but not limited to Maryland, Washington, D.C., Virginia, Delaware, New York, and Florida.
2. Government Certifications & Regulatory Filings
Lead and manage DBE/WBE/MBE/WOSB and other government certification applications and renewals, including:
o Initial submissions
o Renewal cycles
o Deficiency responses and agency correspondence
o Track renewal and recertification deadlines and ensure continuous compliance.
o Interface directly with federal, state, and local agencies.
3. Estate Planning & Trust / Estate Administration
Draft and assemble estate planning documents for attorney review (e.g., Wills, Trusts, Powers of Attorney). Support estate and trust administration matters, including:
o Probaterelated filings and court coordination
o Asset inventory, retitling, and deed preparation
o Beneficiary correspondence and deadline tracking
o Coordinate with Registers of Wills, clerks, title companies, and outofstate counsel as needed.
4. Transactional, Real Estate & Research Support
Conduct land records, lien, judgment, and UCC research.
o Prepare and file UCC1 and UCC3 filings, releases, and amendments.
o Assist with real estate, financing, and business transactions by assembling closing documents and tracking postclosing deliverables.
o Draft and proof legal correspondence, resolutions, engagement letters, and compliance memoranda under attorney supervision.
5. Client & Matter Management
Serve as a primary point of contact for clients, accountants, regulators, and third parties.
o Prepare clear, professional written communications and process summaries for nonlawyer clients.
o Manage high volumes of concurrent, deadlinedriven matters with accuracy and discretion.
Requirements
- 7+ years of experience as a paralegal in a law firm setting with substantial exposure to corporate/business law and estate planning or administration.
- Demonstrated, hands-on experience handling multistate entity filings and compliance with minimal supervision.
- Prior experience managing government certifications (DBE/WBE/MBE/WOSB or similar) is strongly preferred.
- Proven ability to manage dozens of active matters simultaneously without loss of detail or deadlines.
- Strong legal research skills involving public records, land records, UCC databases, and government portals.
- Advanced proficiency in Microsoft Office (particularly Excel for tracking and reporting); experience with document management and efiling platforms.
- Exceptional organizational skills, reliability, and professional judgment.
- Clear, concise, and professional written and verbal communication skills.
